Agreement: Confidential, Non-Disclosure, Indemnification

The individual hereby requesting additional information (the "Requesting Party") acknowledges that Kudan Group, Inc. ("Kudan") has furnished to the Requesting Party certain proprietary data relating to the business and operations of such listing for the sole and limited purpose of study and evaluation by the Requesting Party.

It is acknowledged by the Requesting Party that the confidential information provided by Kudan is confidential; therefore, the Requesting Party agrees not to disclose it, other than as provided for in the following paragraph.

It is further acknowledged by the Requesting Party that the confidential information, including but not limited to records, reports, documents, memoranda and discussions, to be furnished and all analysis, compilations, forecasts, studies or other documents, or any models, variations or development created by the Requesting Party, is in all respects confidential in nature, other than information which is in the public domain through other means ("Confidential Information") and that any disclosure or use of same by the Requesting Party, except as provided in this agreement, may cause serious harm or damage to Kudan Group and the listing. Therefore, the Requesting Party agrees that it will not use the Confidential Information for any purpose other than as stated above, and agrees that it will not either directly or indirectly by agent, employee, or representative, disclose the Confidential Information, either in whole or in part, to any third party; provided, however that (a) Confidential Information may be disclosed only to those directors, officers and employees of the Requesting Party and to Requesting Party's advisors or their representatives who need the Confidential Information for the purpose of evaluating any possible transaction (it being understood that those directors, officers, employees, advisors and representatives shall be informed by the Requesting Party of the confidential nature of such information and shall be directed by the Requesting Party to treat such information confidentially). It is further acknowledged and agreed to by the Requesting Party that any and all discussions regarding the listing and the Confidential Information shall be through, limited to and solely with Kudan. Moreover Kudan does not represent the Requesting Party in any capacity and the Requesting Party acknowledges that Kudan disclaims any and all representations or warranties as to the accuracy of the Confidential Information as such Confidential Information is provided to Kudan by the listing. This agreement will be governed by and construed in accordance with the laws of the State of Illinois.
